Re: Invitation to the 2012 Annual General Meeting of Shareholders

                     To: Shareholders of Ba Ria – Vung Tau Transport Construction

                                           Investment Consultancy Joint Stock Company

            The Board of Management of Ba Ria – Vung Tau Transport Construction Investment Consultancy Joint Stock Company respectfully invites shareholders to attend the 2012 Annual General Meeting of Shareholders.

1. Time, venue and participants

· Opening time of the Meeting: 14:30 on 27 April 2012, Friday afternoon

                                                Reception of delegates and verification of shareholder status from 14:00

· Venue: The Company’s hall

                                 01G2 Trinh Hoai Duc Street, Ward 7, Vung Tau City.

· Participants: all shareholders named on the shareholder register closed at 16:00 on 23 April 2012 are entitled to attend.

2. Agenda of the Meeting:

 Agenda :

· Report on production and business results and on the implementation of investment in 2011;

· Audit report on the 2011 financial statements;

· Report on dividend distribution and appropriation to funds for 2011 and the plan for 2012;

· Report on the activities and the remuneration of the Board of Management and the Board of Supervisors in 2011;

· Submitted to the Meeting for approval:

+ Approval of the plan and programme for raising investment capital for the projects to be carried out in 2012

Meeting documents: shareholders may collect the documents at the administration department from 24 April 2012, or at the Meeting.

3. Comments on the agenda of the Meeting;

· Comments on the agenda of the Meeting should be sent in writing to the Meeting Organising Board before 16:00 on 24 April 2012;

4. Registration to attend the Meeting:

            Shareholders are requested to confirm their attendance at the Meeting and to send a power of attorney (where another person is authorised to attend the Meeting) by fax, by telephone or by email: vt@tuvangiaothong.com before 16:00 on 25 April 2012.
